Terms of Service

Article 1 (Application)

These Terms of Service (the "Terms") set forth the conditions for use of "Cat Office Rights Market" (the "Service"). Users shall use the Service upon agreeing to these Terms.

Article 2 (Definitions)

"Seller" means a person, such as a copyright holder or publisher, who lists information about works on the Service. "Buyer" means a person who wishes to acquire translation publishing rights or other rights.

Article 3 (Registration)

Users shall register accurate information and promptly update it upon any change. The Company may refuse or revoke registration based on its review. Users are responsible for managing their accounts, and the Company shall not be liable for any damage arising from the use of a user's ID or password by a third party.

Article 4 (Contents of the Service)

The Company conducts editorial review of listed works, receives inquiries from Buyers, mediates negotiations, assists in preparing contracts, receives consideration, selects translators, and performs editing, quality control and delivery of deliverables. The Company does not guarantee that any transaction will be concluded.

Article 5 (Listing Review)

Listings are by application, and only works that have passed the review prescribed by the Service are listed. Unless expressly stated otherwise, no fee is charged for applying to list a work.

Article 6 (Warranty of Rights)

Sellers warrant that they hold legitimate rights to the listed works or have obtained lawful permission from the rights holders, and that the works do not infringe the rights of any third party. Sellers shall be liable for any damage caused to the Company or to third parties by a breach of this warranty.

Article 7 (Fees and Payment)

Fees upon conclusion of a transaction, translation production costs and other expenses, and the timing of payment shall be governed by the individual agreement or the prescribed fee schedule. Where a bank transfer or similar payment is required, the transfer fee shall in principle be borne by the user, and amounts already paid shall not be refunded except where the Company is at fault.

Article 8 (Prohibited Acts)

Users shall not engage in any of the following acts:

1. Acts that violate laws, regulations, or public order and morals
2. Acts that infringe the copyrights or other rights of third parties
3. Registering or posting false information
4. Transacting the same work with a counterparty met through the Service without going through the Company
5. Acts that interfere with the operation of the Service, unauthorized access, or automated collection (such as scraping)

Article 9 (Confidentiality)

Users shall not use for any purpose other than the intended one, or disclose to any third party, manuscripts, samples, contract terms or other non-public information disclosed through the Service.

Article 10 (Disclaimer)

The Company does not guarantee the accuracy or completeness of listed information, the conclusion of any transaction, or the fitness of translation deliverables for a user's particular purpose. Except in cases of the Company's willful misconduct or gross negligence, the Company's liability shall be limited to the amount paid by the user to the Company for the transaction concerned, and the Company shall not be liable for indirect damages such as lost profits.

Article 11 (Suspension and Termination)

The Company may suspend a user's use of the Service or delete their registration without prior notice in the event of a breach of these Terms or on other reasonable grounds.

Article 12 (Changes to and Suspension of the Service)

The Company may change the contents of the Service, or suspend its provision due to system maintenance, failures or other reasons.

Article 13 (Amendment of the Terms)

The Company may amend these Terms. Material changes will be announced on this website, and continued use of the Service after such announcement shall be deemed acceptance of the amended Terms.

Article 14 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan, and the Tokyo District Court shall have exclusive jurisdiction in the first instance over any dispute relating to the Service.
